2. Wholesale Eligibility

PayNest primarily supplies retailers, distributors, repair shops, exporters, online sellers and other business buyers.

We may request business registration, resale, tax or identity information before approving an account or completing a transaction.

PayNest may approve, reject, suspend or close a wholesale account at its discretion where permitted by law.

3. Account Information

You are responsible for providing complete and accurate information when registering, requesting a quotation or placing an order.

You must notify PayNest if your business, contact, billing or shipping information changes.

You are responsible for activity carried out using your account details and for maintaining the confidentiality of any login credentials.

4. Quotes and Pricing

Wholesale prices may vary based on product model, condition, storage, quantity, market availability, shipping destination and supplier cost.

Quotations are valid only for the period stated in the quotation. If no validity period is stated, pricing and availability remain subject to confirmation until payment is received.

Website content, inventory lists and quotations may contain errors. PayNest reserves the right to correct pricing, quantity or product information before accepting an order.

5. Orders and Acceptance

Submitting an order request does not guarantee acceptance. An order is accepted only after PayNest confirms the products, pricing, payment requirements and shipping details.

PayNest may reject or cancel an order due to unavailable inventory, incorrect pricing, payment concerns, suspected fraud, shipping restrictions or other legitimate business reasons.

Product availability is not guaranteed until the order has been confirmed and any required payment has cleared.

6. Payments

Payment methods and payment terms will be stated on the quotation, invoice or order confirmation.

Customers are responsible for ensuring payments are authorised, accurate and received by the required deadline.

PayNest may delay or cancel fulfilment where payment is incomplete, reversed, disputed or considered high risk.

Applicable taxes, duties, bank charges, customs fees and related costs may be charged separately unless expressly included in writing.

7. Inventory and Product Details

Product images may be representative. Packaging, accessories, colour, region, carrier compatibility and cosmetic condition may vary by lot.

Device grades describe general cosmetic and functional condition. Minor differences may exist within a wholesale lot.

Customers are responsible for reviewing the quotation, invoice and product description before payment.

Network compatibility, regional functionality and resale suitability should be confirmed by the buyer before purchase.

8. Shipping and Delivery

Shipping dates and delivery estimates are not guaranteed unless PayNest expressly confirms otherwise in writing.

Delays caused by carriers, customs, weather, inspections, incorrect addresses or circumstances outside PayNest's reasonable control are not considered a breach of these Terms.

The buyer is responsible for checking shipment information and reporting visible package damage or missing cartons promptly.

9. Returns and Refunds

Returns require prior written approval from PayNest. Products sent back without authorisation may be refused.

Eligibility, deadlines, inspection requirements and exclusions are described in our Return and Refund Policy and may also be stated on the invoice.

Cosmetic wear, disclosed conditions, buyer's remorse, compatibility issues and unauthorised repairs may not qualify for return.

10. Prohibited Use

You may not use the PayNest website or services to:

• Provide false or misleading information
• Attempt unauthorised access to the website or another account
• Interfere with website security or functionality
• Use PayNest content without permission
• Engage in fraud, unlawful resale or prohibited transactions
• Introduce harmful code, automated attacks or malicious software

11. Limitation of Liability

To the maximum extent permitted by applicable law, PayNest is not liable for indirect, incidental, special or consequential loss arising from website use, delayed delivery, resale activity, lost profits or business interruption.

PayNest's total liability relating to a transaction will not exceed the amount paid to PayNest for the affected products, except where a different limitation is required by law.

12. Changes to These Terms

PayNest may update these Terms and Conditions to reflect changes in business practices, services or legal requirements.

Updated terms will be published on this page with a revised date. Continued use of the website after an update constitutes acceptance of the revised terms.
